1. Agreement to Terms

By accessing or using the Insight API ("API") provided by Lineup Technologies Inc. ("Company," "we," "our," or "us"), you ("User") agree to be legally bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must immediately stop using the API. Your continued use constitutes acceptance of these Terms in their entirety.

These Terms apply to all users, developers, businesses, and partners who access or integrate with our API.

2. Eligibility & Account Requirements

To use the API, you must:

  • Be at least 18 years old (or the legal age in your jurisdiction).

  • Have the legal authority to accept these Terms on behalf of your organization.

  • Not be prohibited from using our services under applicable laws.

If you create an account or register for API access, you must:

  • Provide accurate and up-to-date information.

  • Secure your API keys and credentials (you are responsible for any misuse).

  • Not share your credentials or allow unauthorized access.

If we determine that your account or API usage violates these Terms, we may suspend or terminate your access immediately.

3. License Grant & API Usage Rights

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Insight API, subject to the following conditions:

  • Permitted Use: You may use the API only for lawful purposes and in compliance with this Agreement.

  • Rate Limits: We impose request limits to ensure fair use (see API documentation for details).

  • Data Retention & Storage: API data must not be stored beyond permitted caching periods (see our Data Usage Policy).

  • Modifications: We may update, modify, or discontinue the API at any time without prior notice.

Unauthorized use of the API violates these Terms and may result in legal action.

4. Prohibited Activities

You must not:

  • Scrape, harvest, or extract data in an automated or bulk manner.

  • Use the API for competitive services, including building a similar or derivative product.

  • Modify, reverse-engineer, or attempt to exploit vulnerabilities in the API.

  • Circumvent security measures, authentication protocols, or access controls.

  • Sell, resell, sublicense, or transfer API access to any third party without our permission.

  • Use the API for illegal, fraudulent, misleading, or harmful activities, including spam, harassment, discrimination, or deceptive advertising.

Violation of these restrictions may result in immediate termination and legal action.

5. Intellectual Property Rights

All rights, title, and interest in the API, its software, documentation, trademarks, and data belong to Lineup Technologies Inc..

  • No Ownership Rights: Accessing the API does not grant you ownership of any intellectual property.

  • Branding & Attribution: You must display proper attribution (see Attribution & Branding Guidelines).

  • Feedback & Improvements: If you submit feedback, suggestions, or feature requests, we may use them without any obligation to compensate you.

Any unauthorized use of our intellectual property is strictly prohibited.

6. Data Privacy & Compliance

  • User Data: If you collect user data via our API, you are responsible for ensuring compliance with privacy laws (GDPR, CCPA, etc.).

  • No Data Storage: You must not store or retain API data beyond permitted caching limits.

  • Third-Party Sharing: You must not share, sell, or transfer API data to any third party.

  • Security Obligations: You must protect API keys, tokens, and authentication credentials.

Violating these obligations may result in legal liability.

7. Service Availability & Changes

We strive to maintain high availability, but we do not guarantee uptime or uninterrupted service.

  • API Updates: We may update, modify, or discontinue certain features without prior notice.

  • Deprecation Notices: If we discontinue an API version, we will provide a reasonable transition period.

  • No Compensation for Downtime: We are not liable for outages, errors, or performance issues.

For enterprise customers, SLA (Service Level Agreement) terms may apply.

8. Disclaimers & Limitations of Liability

The API is provided "as is" and "as available" without warranties of any kind, including:

  • No Guarantee of Accuracy: We do not warrant that API data is error-free, accurate, or reliable.

  • No Liability for Third-Party Integrations: If you connect our API to third-party services, we are not responsible for their actions or failures.

  • No Indirect or Consequential Damages: We will not be liable for lost profits, business interruptions, or indirect damages.

Our total liability is limited to the amount paid (if any) for API access in the three months preceding a claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Lineup Technologies Inc., its employees, directors, and affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your misuse of the API.

  • Your violation of these Terms.

  • Third-party claims related to your use of API data.

We reserve the right to assume exclusive legal defense in any matter subject to indemnification.

10. Termination & Suspension

We reserve the right to suspend or terminate your API access at any time if:

  • You violate any provisions of these Terms.

  • We detect suspicious or unauthorized activity.

  • We discontinue the API or a specific feature.

Termination does not relieve you of obligations related to data protection, indemnification, or legal liability.

11. Dispute Resolution & Governing Law

  • Jurisdiction: These Terms are governed by the laws of [Insert Jurisdiction].

  • No Class Actions: Users waive their right to participate in class-action lawsuits.
